These Terms of Service ("Terms") govern your access to and use of the website located at covenantsystems.ai and the CPA Morning Briefing service (collectively, the "Service") provided by Covenant Systems AI LLC ("Covenant Systems," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Covenant Systems provides CPA Morning Briefing, a subscription-based intelligence service that delivers daily curated briefings to CPA firm owners and professionals. The briefings include regulatory updates, industry trends, market intelligence, and client opportunity alerts.

Beta Status: The Service is currently in beta and is scheduled to launch on June 10, 2026. During the beta period, features, functionality, and availability may change without notice. We do not guarantee uninterrupted or error-free service during this phase.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

To access certain features of the Service, you may be required to create an account and subscribe to a paid plan. You agree to:

4. Payment Terms

Subscription Fees: Access to the CPA Morning Briefing requires a paid subscription. Pricing and billing terms will be provided when you subscribe and may vary based on your selected plan.

Billing: Subscriptions are billed on a recurring basis (monthly or annually, as selected). You authorize us to charge your payment method on each billing cycle. Payments are processed securely through our third-party payment processor, Stripe.

Refunds: All subscription fees are non-refundable except as required by law or as stated in a specific promotional offer. If you are dissatisfied with the Service, you may cancel your subscription at any time to avoid future charges.

Price Changes: We may change subscription pricing upon 30 days' notice. Price changes will apply to renewals following the notice period. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

5. Cancellation and Termination

Your Right to Cancel: You may cancel your subscription at any time through your account settings or by contacting us at hello@covenantsystems.ai. Cancellations take effect at the end of the current billing period. You will retain access to the Service until that date.

We do not control or endorse these third-party sites and are not responsible for their content, accuracy, or availability. Your use of third-party sites is at your own risk and subject to their terms and policies.

No Professional Advice: The information provided through the Service is for informational purposes only and does not constitute legal, tax, accounting, or professional advice. You should consult with qualified professionals before making decisions based on information from the Service.

No Warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Beta Limitations: During the beta period, the Service may contain bugs, errors, or incomplete features. We make no guarantees regarding the availability, reliability, or performance of the Service during beta.

TO THE FULLEST EXTENT PERMITTED BY LAW, COVENANT SYSTEMS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you.

Governing Law: These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles.

Dispute Resolution: Any disputes arising out of or related to these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, conducted in North Carolina. You agree to waive your right to participate in a class action lawsuit or class-wide arbitration.

Exceptions: Either party may seek injunctive or equitable relief in court to protect intellectual property rights or prevent unauthorized use of the Service.

13. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will notify you by updating the "Last Updated" date at the top of this document and, where appropriate, by sending you an email or posting a notice on the Service. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Covenant Systems regarding the Service.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
